Welcome to CourseSpark. These Terms of Service ("Terms") govern your access to and use of the CourseSpark website, mobile applications, software, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. About CourseSpark

CourseSpark is an online marketplace that enables independent creators to create, market, and sell educational content directly to students.

CourseSpark provides the technology platform only. Unless explicitly stated otherwise, CourseSpark is not the seller, instructor, employer, or owner of creator content.

2. Eligibility

To use CourseSpark you must:

• Be at least 13 years old (or the minimum age required by your jurisdiction).
• If under 18, have permission from a parent or legal guardian.
• Have the legal ability to enter into binding agreements.
• Provide accurate registration information.

3. Accounts

You agree to:

• Keep your password secure.
• Maintain accurate account information.
• Notify CourseSpark immediately of unauthorized account use.
• Accept responsibility for all activity conducted through your account.

You may not share, sell, or transfer your account without written permission.

4. Purchases

When purchasing a course, you receive a limited, personal, non-transferable license to access that course through CourseSpark.

Purchasing a course does not transfer ownership of the course or any intellectual property. Unless otherwise stated, courses are for personal educational use only, and you may not redistribute, resell, copy, record, or publicly display course content.

5. Payments

Payments are processed through third-party payment providers. By making a purchase you authorize the applicable payment processor to charge your selected payment method. CourseSpark is not responsible for payment failures caused by banks, payment processors, or card issuers.

6. Refunds

Refunds are governed by the CourseSpark Refund Policy. CourseSpark reserves the right to deny refund requests that violate the policy or involve abuse of the refund system.

7. Creator Content

Creators are solely responsible for the courses they publish. CourseSpark does not guarantee accuracy, completeness, professional qualifications, business results, financial outcomes, or certification validity.

Educational content should not be considered legal, financial, medical, accounting, investment, or tax advice unless explicitly provided by a qualified professional.

8. User Conduct

Users agree not to:

• Break any laws.
• Upload malicious software.
• Attempt unauthorized access.
• Interfere with platform operations.
• Harass or threaten other users.
• Upload infringing content.
• Circumvent payment systems.
• Share purchased courses without authorization.
• Use bots to scrape or copy platform content.

9. Intellectual Property

All CourseSpark branding, logos, software, website design, trademarks, and platform features remain the property of CourseSpark. Creators retain ownership of their own educational content. Students receive only a limited license to access purchased courses.

10. Copyright Policy

CourseSpark respects intellectual property rights. Copyright owners may submit notices requesting removal of infringing content. Repeat copyright infringers may have their accounts permanently terminated.

11. User-Generated Content

Users may submit reviews, comments, discussions, community posts, and profile information. You grant CourseSpark a non-exclusive license to display and distribute such content as necessary to operate the Platform.

12. Platform Availability

CourseSpark strives for reliable service but does not guarantee uninterrupted availability. Maintenance, updates, outages, security events, or third-party failures may temporarily affect access.

13. Termination

CourseSpark may suspend or terminate accounts that violate these Terms, engage in fraud, abuse other users, attempt to exploit platform vulnerabilities, infringe intellectual property rights, or engage in illegal conduct. Users may stop using CourseSpark at any time.

14. Disclaimer

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, CourseSpark disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

15. Limitation of Liability

To the maximum extent permitted by law, CourseSpark shall not be liable for lost profits, lost business opportunities, lost data, indirect damages, consequential damages, special damages, or punitive damages.

CourseSpark's total liability shall not exceed the total platform fees received from the transaction giving rise to the claim or, if no transaction occurred, $100 USD, whichever is greater.

16. Indemnification

You agree to defend, indemnify, and hold harmless CourseSpark, its owners, employees, affiliates, contractors, and partners from any claims, damages, liabilities, losses, costs, or expenses arising from your use of the Platform, your violation of these Terms, your violation of another person's rights, or your content or conduct.

17. Electronic Communications

By creating an account, you consent to receive electronic communications related to your account, purchases, platform updates, security notices, and legal documents.

18. Changes to the Terms

CourseSpark may revise these Terms periodically. Updated Terms become effective upon posting unless otherwise required by law. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by the laws of the state in which CourseSpark is organized, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located within that jurisdiction unless applicable law requires otherwise.

20. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Creator Agreement, Creator Terms & Conditions, DMCA Policy, and any additional policies incorporated by reference, constitute the entire agreement between you and CourseSpark regarding use of the Platform.

This Privacy Policy explains how CourseSpark ("CourseSpark," "we," "our," or "us") collects, uses, stores, shares, and protects your information when you use our website, mobile applications, and related services (collectively, the "Platform").

By using CourseSpark, you acknowledge that you have read and understood this Privacy Policy.

1. Information We Collect

Depending on how you use CourseSpark, we may collect account information (full name, username, email address, encrypted password, profile photo, biography, business information for creators).

Payment information is processed by third-party payment processors. CourseSpark does not store your complete credit or debit card information. We may receive limited payment details such as transaction IDs, purchase amounts, payment status, and subscription status.

Creators may provide business name, website, social media links, payout account details, and tax information if required by law. Students may provide purchased courses, learning progress, certificates earned, reviews and ratings, and saved courses.

We may automatically collect device information (IP address, browser type, device type, operating system, language preferences, time zone, device identifiers) and usage information (pages visited, features used, time spent, search history, click activity, course completion statistics).

2. Cookies and Tracking Technologies

CourseSpark uses cookies and similar technologies to keep users signed in, remember preferences, improve performance, measure analytics, detect fraud, and enhance security. You may disable cookies through your browser settings, although some features may not function properly.

3. How We Use Your Information

We use information to provide Platform services, process purchases, create user accounts, deliver purchased courses, process subscriptions, improve the Platform, respond to customer support requests, prevent fraud, enforce our policies, send important account notifications, and comply with legal obligations. With your consent where required, we may also send promotional emails or marketing communications. You can opt out at any time.

4. Sharing Your Information

We do not sell your personal information. We may share information with trusted third parties that help us operate the Platform, including payment processors, cloud hosting providers, analytics providers, customer support services, email delivery providers, fraud prevention services, and legal or regulatory authorities when required by law. These service providers may access information only as necessary to perform services on our behalf.

5. Creator Information

If you purchase a course, limited information may be shared with the course creator, such as your name, username, and enrollment status, so they can provide educational services and support. Creators are independently responsible for protecting any personal information they receive through the Platform.

6. Data Security

We implement reasonable administrative, technical, and organizational safeguards to protect your information. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

7. Data Retention

We retain personal information only for as long as reasonably necessary to operate the Platform, maintain account records, resolve disputes, enforce agreements, and comply with legal obligations. When information is no longer required, we will securely delete or anonymize it where practical.

8. Your Privacy Rights

Depending on your location, you may have rights to access, correct, or delete your personal information, request a copy of your data, restrict certain processing, object to certain processing activities, and withdraw consent where applicable. Requests may be submitted through CourseSpark Support.

9. California Privacy Rights

If you are a California resident, you may have rights under the California Consumer Privacy Act (CCPA) and related laws, including the right to know, delete, correct, and limit certain uses of personal information, subject to applicable exceptions. CourseSpark does not sell personal information as defined under applicable California law.

10. International Users

If you access CourseSpark from outside the country where our servers are located, your information may be transferred and processed in countries with different data protection laws. By using the Platform, you consent to these transfers where permitted by law.

11. Children's Privacy

CourseSpark is not intended for children under the age of 13 (or the minimum legal age in your jurisdiction). We do not knowingly collect personal information from children without appropriate legal authorization. If we learn that personal information has been collected in violation of applicable law, we will take reasonable steps to delete it.

12. Third-Party Services

The Platform may contain links to third-party websites, payment processors, or services. CourseSpark is not responsible for the privacy practices or content of third-party websites or services. Users should review the privacy policies of those providers separately.

13. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. When material changes are made, we will post the updated policy on the Platform and update the Effective Date. Continued use of CourseSpark after changes become effective constitutes acceptance of the revised Privacy Policy.

This Refund Policy explains when refunds are available for purchases made through the CourseSpark platform. By purchasing a course, subscription, or digital product through CourseSpark, you agree to this Refund Policy.

1. Marketplace Notice

CourseSpark is an online marketplace that allows independent creators to sell educational content directly to students. Unless otherwise stated, creators are responsible for the quality and accuracy of their courses. CourseSpark reserves the right to administer refunds in accordance with this policy.

2. Eligible Refund Window

Unless a creator specifies a more generous refund policy, students may request a refund within 14 days of purchase provided that:

• The request is submitted within the refund period.
• The course has not been substantially completed.
• The purchase was made through CourseSpark.
• The purchase was not previously refunded.

3. When Refunds May Be Approved

Refunds may be granted if:

• The course cannot be accessed due to a technical issue that cannot be resolved.
• Duplicate purchases were made accidentally.
• The wrong course was purchased due to a technical error.
• The course materially differs from its description.
• A payment was processed in error.
• Refunds are required by applicable law.

CourseSpark may request additional information before approving a refund.

4. When Refunds Will Not Be Granted

Refunds are generally not available for:

• Change of mind after significant course completion.
• Failure to complete a course.
• Failure to understand course requirements.
• Dissatisfaction with personal results.
• Purchases made outside the refund window.
• Subscription fees already earned for prior billing periods unless required by law.
• Abuse of the refund system.

5. Digital Products

Unless otherwise required by law, downloadable digital products—including templates, worksheets, checklists, eBooks, and similar materials—are non-refundable once downloaded or accessed.

6. Subscription Refunds

Subscription payments are generally non-refundable after the billing period begins. Cancellation prevents future billing but does not automatically generate a refund for previous charges.

7. Chargebacks

Customers are encouraged to contact CourseSpark Support before initiating a chargeback with their financial institution. Fraudulent or abusive chargebacks may result in suspension of account access, permanent account termination, loss of access to purchased content, and collection efforts where permitted by law.

8. Fraud Prevention

CourseSpark reserves the right to deny refund requests if we reasonably believe fraud has occurred, the account has engaged in excessive refund activity, multiple accounts are being used to obtain free access, or the Platform is being abused.

9. Processing Time

Approved refunds are typically processed within 5–10 business days, although actual processing times depend on the payment provider or financial institution.

10. Creator Impact

Approved refunds, chargebacks, processing fees, or payment disputes may be deducted from future creator earnings when permitted by applicable agreements.

11. Exceptions

Nothing in this Refund Policy limits any consumer rights that cannot legally be waived under applicable law. Where local consumer protection laws provide additional refund rights, those rights will apply.

12. Changes to This Policy

CourseSpark may update this Refund Policy from time to time. The updated version becomes effective upon posting unless otherwise required by law.

This Acceptable Use Policy ("Policy") outlines the rules for using the CourseSpark platform. It applies to all users, including students, creators, affiliates, visitors, and any other person accessing CourseSpark. By using CourseSpark, you agree to comply with this Policy.

1. Purpose

CourseSpark is designed to provide a safe, professional, and trustworthy environment for learning and teaching. All users are expected to use the Platform responsibly and lawfully.

2. Compliance with Laws

You agree to comply with all applicable local, state, federal, and international laws and regulations while using CourseSpark.

3. Prohibited Activities

You may not use CourseSpark to:

• Commit fraud or deceptive practices.
• Impersonate another person or business.
• Upload viruses, malware, ransomware, or harmful code.
• Attempt to hack, disrupt, or bypass Platform security.
• Interfere with the operation of CourseSpark or other users' accounts.
• Use bots or automated tools to scrape, copy, or harvest Platform content without written permission.
• Circumvent payment systems or platform fees.
• Engage in money laundering or other financial crimes.
• Promote illegal goods or services.

4. Content Standards

All content published on CourseSpark must be lawful and respectful. Users may not upload content that:

• Infringes copyrights, trademarks, patents, or other intellectual property rights.
• Contains unlawful hate speech or promotes violence.
• Encourages criminal activity.
• Contains malware or malicious files.
• Invades another person's privacy.
• Contains defamatory or knowingly false statements.
• Violates applicable laws or regulations.

5. Creator Responsibilities

Creators are responsible for ensuring that course descriptions are truthful, marketing claims are not misleading, course materials are accurate to the best of their knowledge, they possess the rights to all uploaded materials, and student information is handled responsibly. Creators may not guarantee unrealistic financial, medical, legal, or business outcomes.

6. Student Responsibilities

Students agree not to share purchased course content with others, upload creator materials to other websites, record or redistribute paid courses without permission, resell downloaded course materials unless expressly authorized, or harass creators or other students.

7. Community Conduct

Users are expected to treat others with professionalism and respect. The following behaviors are prohibited: harassment, threats, bullying, stalking, discrimination prohibited by law, intimidation, spam, and abusive language directed at other users. CourseSpark encourages constructive discussion and respectful disagreement.

8. Artificial Intelligence

Creators may use AI tools to assist with course development provided that they have the legal right to use the generated content, they review AI-generated material for accuracy, the resulting course provides meaningful educational value, and AI is not used to violate intellectual property rights or create deceptive content. CourseSpark reserves the right to remove low-quality, spam, or duplicate AI-generated content.

9. Intellectual Property

Users may not upload, distribute, or sell materials they do not own or have permission to use. Copyright owners may submit infringement notices in accordance with CourseSpark's DMCA Policy.

10. Security

Users may not attempt unauthorized access to CourseSpark systems, reverse engineer the Platform, circumvent security measures, test the Platform for vulnerabilities without written authorization, or introduce harmful software or scripts.

11. Enforcement

CourseSpark may investigate suspected violations of this Policy. Depending on the circumstances, CourseSpark may remove content, issue warnings, suspend accounts, permanently terminate accounts, withhold payouts where permitted by law or agreement, and report unlawful conduct to appropriate authorities.

12. Reporting Violations

Users may report suspected violations through CourseSpark's official support channels. Reports should include sufficient information to allow an investigation.

13. Changes to This Policy

CourseSpark may update this Policy from time to time. Changes become effective upon posting unless otherwise required by law. Continued use of the Platform constitutes acceptance of the updated Policy.

CourseSpark respects the intellectual property rights of others and expects all users, including creators and students, to do the same. This Digital Millennium Copyright Act ("DMCA") Policy describes how CourseSpark responds to copyright infringement claims involving content available through the Platform.

1. Copyright Protection

CourseSpark provides a platform where independent creators can upload and distribute educational content. Creators are responsible for ensuring they have the necessary rights, licenses, and permissions to use all materials included in their courses. CourseSpark does not knowingly permit copyright infringement.

2. Designated Copyright Agent

Copyright infringement notices should be submitted to CourseSpark's designated copyright representative through CourseSpark Support.

3. Filing a DMCA Copyright Notice

If you believe that content available through CourseSpark infringes your copyright, you may submit a written DMCA notice containing:

• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is allegedly infringing and information reasonably sufficient to locate the material on CourseSpark.
• Your contact information, including full legal name, address, telephone number, and email address.
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
• A statement that the information provided is accurate.
• A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
• Your physical or electronic signature.

4. Review Process

Upon receiving a valid DMCA notice, CourseSpark may review the complaint, temporarily restrict access to the reported content, notify the creator who uploaded the material, request additional information, and remove or disable access to allegedly infringing content. CourseSpark does not determine copyright ownership disputes but may take reasonable action consistent with applicable law.

5. Creator Response and Counter-Notice

If a creator believes their content was removed incorrectly, they may submit a DMCA counter-notice. A valid counter-notice should include identification of the removed content, a statement explaining why the removal was mistaken, the creator's contact information, a statement consenting to the jurisdiction of the appropriate court, an agreement to accept service of process from the complaining party, and a physical or electronic signature.

6. Restoration of Content

If CourseSpark receives a valid counter-notice and the original complainant does not file legal action within the legally required timeframe, CourseSpark may restore the removed content. CourseSpark reserves the right to maintain removal when required by law or circumstances.

7. Repeat Infringers

CourseSpark may terminate accounts belonging to users who repeatedly infringe copyrights. Actions may include removing content, suspending accounts, permanently banning users, and withholding access to Platform features.

8. False Claims

Submitting false or misleading copyright complaints or counter-notices may result in legal consequences. Individuals submitting fraudulent claims may be responsible for damages, costs, and attorney fees as permitted by law.

9. Creator Responsibility

Creators agree that they own or have permission to use their course materials, they will respond honestly to copyright complaints, they will not upload stolen, copied, or unauthorized content, and they will maintain records of ownership or licensing where appropriate.

10. Third-Party Content

CourseSpark may contain links, integrations, or references to third-party services. CourseSpark is not responsible for copyright issues arising from third-party platforms.

11. Changes to This Policy

CourseSpark may update this DMCA Policy periodically. The updated version becomes effective when posted on the Platform.

This Creator Agreement ("Agreement") is entered into between CourseSpark ("CourseSpark," "we," "our," or "us") and the individual or business creating an account as a course creator ("Creator," "you," or "your"). By creating a Creator account or publishing content through CourseSpark, you agree to be bound by this Agreement.

1. Purpose

CourseSpark provides an online platform that allows independent creators to market and sell digital educational content directly to students. CourseSpark is a technology platform and marketplace only. We do not employ Creators, act as their agent, or become a party to transactions between Creators and students except as necessary to provide platform services.

2. Independent Creator Relationship

You acknowledge and agree that you are an independent business or individual, that nothing in this Agreement creates an employer-employee, contractor, agency, partnership, or joint venture relationship, and that you are solely responsible for operating your business.

3. Ownership of Content

You retain full ownership of all intellectual property rights in the courses, videos, documents, graphics, audio, downloads, and other content you upload. Nothing in this Agreement transfers ownership of your content to CourseSpark.

4. License Granted to CourseSpark

You grant CourseSpark a worldwide, non-exclusive, royalty-free license to host your content, display your content, stream your content, store backups, create thumbnails and previews, market your courses through the CourseSpark platform, and use your business name, logo, and promotional materials for marketing your courses. This license ends when your content is permanently removed from the platform, except where retention is required for legal, security, or backup purposes.

5. Sales and Platform Fees

Creators determine the pricing of their courses unless otherwise agreed. Customers purchase courses through the payment methods supported by CourseSpark. CourseSpark earns revenue by collecting a platform fee on qualifying transactions. Applicable fees are displayed in your Creator Dashboard or Pricing Schedule. CourseSpark reserves the right to modify platform fees with advance notice.

6. Payments

Course sales are processed using approved payment providers. Creators receive the remaining balance after applicable platform fees, payment processing fees, refunds, chargebacks, taxes collected by payment processors, and other authorized deductions. CourseSpark is not responsible for payment delays caused by payment providers or financial institutions.

7. Taxes

Creators are solely responsible for federal, state, local, and international taxes, sales tax obligations where applicable, and VAT, GST, or similar taxes required by law. CourseSpark does not provide tax advice. Creators are responsible for determining their own tax obligations. If CourseSpark is legally required to collect tax information or issue tax forms in the future, Creators agree to provide accurate information upon request.

8. Creator Responsibilities

Creators agree to publish accurate course information, maintain current contact information, deliver the educational content advertised, comply with all applicable laws, respect intellectual property rights, avoid misleading advertising, and maintain professional conduct.

9. Prohibited Content

Creators may not upload content that infringes copyrights or trademarks, contains malware or harmful software, promotes illegal activity, contains hate speech or unlawful discrimination, contains explicit sexual content prohibited by applicable law, encourages violence or criminal conduct, or violates another person's privacy or publicity rights. CourseSpark may remove prohibited content without prior notice.

10. Refunds and Chargebacks

Refunds are governed by the CourseSpark Refund Policy. Creators acknowledge that chargebacks, payment disputes, fraud investigations, or required legal refunds may reduce future payouts.

11. Account Suspension or Termination

CourseSpark may suspend or terminate Creator accounts for violations of this Agreement, illegal activity, fraudulent conduct, repeated customer complaints, abuse of the platform, or other actions that threaten the integrity or security of CourseSpark. Creators may discontinue using the platform at any time, subject to any outstanding obligations.

12. Intellectual Property Complaints

Creators represent that they own or have permission to use all uploaded materials. CourseSpark may remove allegedly infringing content upon receiving a valid copyright complaint. Repeated infringement may result in permanent account termination.

13. Warranties

Creators represent and warrant that they have authority to enter into this Agreement, their content does not infringe third-party rights, their content complies with applicable law, and their marketing materials are truthful and not misleading.

14. Limitation of Liability

To the fullest extent permitted by law, CourseSpark shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of the platform. CourseSpark's total liability shall not exceed the amount of platform fees paid by the Creator during the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

Creators agree to defend, indemnify, and hold harmless CourseSpark, its owners, employees, affiliates, and partners from claims, losses, liabilities, damages, costs, and expenses arising from Creator content, intellectual property disputes, violations of law, breaches of this Agreement, and customer disputes related to Creator conduct or content.

16. Changes to this Agreement

CourseSpark may update this Agreement periodically. Continued use of the platform after changes become effective constitutes acceptance of the revised Agreement.

17. Governing Law

This Agreement shall be governed by the laws of the State in which CourseSpark is organized, without regard to conflict of law principles.

18. Entire Agreement

This Agreement, together with the CourseSpark Terms of Service, Privacy Policy, Refund Policy, and other incorporated policies, constitutes the entire agreement between CourseSpark and the Creator. By creating a Creator account, you acknowledge that you have read, understood, and agree to this Creator Agreement.

These Creator Terms & Conditions ("Terms") govern your use of the CourseSpark Creator Platform. By creating a Creator account, uploading content, or offering courses for sale, you agree to comply with these Terms.

1. Eligibility

To become a Creator, you must be at least 18 years old (or the age of majority in your jurisdiction), have the legal authority to enter into binding agreements, provide accurate registration information, and maintain a valid email address and payment account. CourseSpark may refuse or revoke Creator access at its sole discretion.

2. Creator Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to keep your information current and accurate, notify CourseSpark immediately of unauthorized account access, and accept responsibility for all activity occurring under your account. You may not transfer or sell your Creator account without written approval from CourseSpark.

3. Course Standards

Creators are responsible for producing original, high-quality educational content. Courses should clearly describe what students will learn, match the advertised curriculum, function properly on supported devices, and avoid deceptive or exaggerated marketing claims. CourseSpark may request revisions or remove content that does not meet platform standards.

4. Intellectual Property

You must own or have all necessary rights to every element of your course, including videos, images, music, logos, fonts, downloads, worksheets, templates, presentations, software, and AI-generated materials where required by applicable law. You may not upload content that infringes another person's copyright, trademark, patent, trade secret, or other intellectual property rights.

5. AI-Generated Content

Creators may use artificial intelligence tools to assist in course creation provided that the content is lawful, the Creator has the legal right to use and sell the content, AI-generated material is reviewed for accuracy, and the course provides meaningful educational value and is not solely low-quality automated output. CourseSpark reserves the right to reject spam, duplicated, or low-value AI-generated courses.

6. Pricing

Creators may set their own pricing unless CourseSpark offers optional promotional programs. By participating in promotions, you authorize CourseSpark to display discounted pricing in accordance with the promotion's terms.

7. Platform Fees

8. Payments

Payments are issued through supported payment providers. Creators are responsible for maintaining valid payout information. CourseSpark may delay or withhold payouts when reasonably necessary to investigate fraud, chargebacks, legal compliance issues, or violations of these Terms.

9. Taxes

Creators are solely responsible for income tax reporting, business licensing, self-employment taxes, sales tax obligations where applicable, and VAT, GST, or similar indirect taxes unless otherwise required by law. CourseSpark does not provide tax or legal advice.

10. Student Communications

Creators agree to communicate with students respectfully and professionally. Creators may not harass students, send spam, collect payment outside the CourseSpark platform for purchases initiated through CourseSpark without authorization, or request passwords or sensitive financial information.

11. Reviews and Ratings

Students may leave reviews based on their experiences. Creators may not purchase fake reviews, offer incentives for positive reviews unless expressly permitted, harass students over reviews, or manipulate ratings. CourseSpark may remove fraudulent reviews or review manipulation.

12. Prohibited Activities

Creators may not upload malware or viruses, circumvent platform security, attempt unauthorized access to accounts or systems, misrepresent qualifications or certifications, engage in fraud or deceptive practices, use CourseSpark to facilitate illegal activity, infringe intellectual property rights, or impersonate another individual or business.

13. Content Moderation

CourseSpark reserves the right to review, remove, edit, suspend, or restrict access to any content that violates these Terms or applicable law. Removal of content does not create liability for CourseSpark.

14. Copyright Complaints

CourseSpark respects intellectual property rights. If a valid copyright complaint is received, CourseSpark may remove the disputed content, suspend access, request additional ownership documentation, and permanently terminate repeat infringers.

15. Refunds

Refunds are governed by the CourseSpark Refund Policy. Creators acknowledge that approved refunds and chargebacks may reduce future earnings.

16. Termination

Creators may close their accounts at any time. CourseSpark may suspend or terminate accounts for fraud, repeated policy violations, illegal conduct, copyright infringement, abuse of students, platform security risks, nonpayment of required fees, and misrepresentation. Termination does not eliminate obligations incurred before account closure.

17. Disclaimer

CourseSpark provides the platform "as is" and "as available." We do not guarantee uninterrupted service, error-free operation, or specific sales results. Creators acknowledge that business success depends on numerous factors beyond CourseSpark's control.

18. Limitation of Liability

To the fullest extent permitted by law, CourseSpark shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the platform.

19. Indemnification

Creators agree to indemnify and hold harmless CourseSpark, its affiliates, employees, officers, and partners against claims arising from uploaded content, intellectual property disputes, violations of these Terms, violations of law, and creator negligence or misconduct.

20. Changes to These Terms

CourseSpark may modify these Terms periodically. Material changes will become effective upon posting or after notice as required by applicable law. Continued use of the platform constitutes acceptance of the updated Terms.

21. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which CourseSpark is organized.

1. Purpose

CourseSpark provides creators with technology to host, market, sell, and deliver digital educational content to students. To provide these services, CourseSpark requires certain limited rights to use creator content. This Agreement does not transfer ownership of creator content to CourseSpark.

2. Creator Ownership

Creators retain all ownership rights, title, and interest in their original content, including courses, videos, audio files, images, presentations, documents, templates, worksheets, downloads, branding materials, and educational resources. CourseSpark does not claim ownership of creator materials.

3. License Grant to CourseSpark

By uploading content to CourseSpark, you grant CourseSpark a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license solely for purposes of operating and improving the Platform. This license allows CourseSpark to host your content, store and transmit content, display course information, deliver content to enrolled students, process course purchases, create previews, thumbnails, and promotional materials, market courses through CourseSpark channels, improve platform functionality, and provide customer support.

4. Marketing Rights

Creators authorize CourseSpark to use creator name, profile image, course title, course description, public course information, and testimonials or reviews related to the course. These materials may be used for platform promotion, advertising, search visibility, social media promotion, and marketplace discovery. CourseSpark will not sell creator content as a separate product without creator authorization.

5. Student Access License

Creators acknowledge that students who purchase a course receive a limited license to access educational content. Students do not receive ownership rights to copy materials, resell materials, redistribute content, or create competing products from purchased content.

6. Creator Responsibilities

Creators represent and warrant that they own their uploaded content or have appropriate rights, their content does not violate another person's rights, they have obtained necessary permissions for third-party materials, and their content complies with CourseSpark policies.

7. Third-Party Materials

If a creator includes third-party materials, the creator is responsible for ensuring appropriate licensing or permission exists. CourseSpark is not responsible for unauthorized materials uploaded by creators.

8. AI-Assisted Content

Creators may use artificial intelligence tools in creating content. Creators remain responsible for reviewing AI-generated materials, ensuring accuracy, ensuring legal rights to use the content, and maintaining educational quality. AI assistance does not remove creator responsibility for compliance.

9. Removal of Content

Creators may request removal of their content from CourseSpark. After removal, CourseSpark will stop making the content available for new purchases, existing student access may continue where necessary to fulfill previous purchases, and backup copies may remain temporarily for legal, security, or technical purposes.

10. CourseSpark Platform Improvements

Creators authorize CourseSpark to use aggregated, anonymized information related to course performance, such as enrollment trends, completion rates, platform analytics, and general usage statistics. CourseSpark may use this information to improve platform features and user experience.

11. No Transfer of Ownership

Nothing in this Agreement grants CourseSpark ownership of creator content. The license granted is limited solely to providing CourseSpark services.

12. Indemnification

Creators agree to protect and indemnify CourseSpark against claims arising from alleged copyright infringement, unauthorized use of materials, creator-provided content, and violations of third-party rights.

13. Termination of License

The license granted under this Agreement continues while content is available on CourseSpark. Upon account termination or content removal, the license ends except for existing student access obligations, backup copies, legal compliance requirements, and historical transaction records.

14. Changes to This Agreement

CourseSpark may update this Agreement as necessary to reflect platform changes, legal requirements, or business operations. Material changes will be communicated as required.

15. Acceptance

By uploading content to CourseSpark, you acknowledge that you own or have permission to use your content, you grant CourseSpark the limited rights necessary to operate the marketplace, and you understand that you retain ownership of your content.

This Creator Payout & Revenue Share Policy explains how creators earn revenue through CourseSpark, how platform fees are calculated, and how payments are processed. This Policy is incorporated into the CourseSpark Creator Agreement and Creator Terms & Conditions. By selling courses through CourseSpark, you agree to this Policy.

1. Marketplace Revenue Model

CourseSpark allows independent creators to sell educational products and digital courses through the Platform. Creators retain ownership of their courses and set their own pricing unless participating in promotional programs. CourseSpark earns revenue by collecting a platform service fee from eligible transactions.

2. Revenue Share Calculation

For each completed transaction: Creator Earnings = Course Sale Price − CourseSpark Platform Fee − Payment Processing Fees − Applicable Refunds − Chargebacks − Taxes or Required Deductions. The exact platform fee percentage or amount will be displayed within the Creator Dashboard or applicable pricing agreement.

3. Platform Fees

CourseSpark may charge fees for services including marketplace access, course hosting, payment processing support, customer access tools, analytics, marketing features, and platform development and maintenance. CourseSpark may update platform fees with advance notice.

4. Payment Processing

Payments are processed through third-party payment providers. Creators agree that payment providers may have their own terms and requirements, that CourseSpark does not control payment processor decisions, and that payment delays caused by banks or payment providers are outside CourseSpark's control.

5. Creator Payout Accounts

Creators must maintain accurate payout information. Creators are responsible for providing correct banking information, updating outdated payment information, and maintaining accounts in good standing with payment providers. CourseSpark is not responsible for payments sent to incorrect account information provided by the Creator.

6. Payout Schedule

Creator payouts are generally processed according to the payout schedule shown in the Creator Dashboard. CourseSpark may delay payouts for new creator accounts, fraud reviews, excessive refund activity, chargeback investigations, payment disputes, security concerns, and legal compliance requirements.

7. Payment Holds and Reserves

CourseSpark may establish temporary payment reserves or holds when reasonably necessary to protect against fraud, chargebacks, refund obligations, payment reversals, and platform abuse. Any reserves will be handled according to applicable laws and payment processor requirements.

8. Refund Adjustments

If a customer receives a refund, the associated creator earnings may be adjusted. Adjustments may include deduction from future payouts, reversal of unpaid earnings, and recovery of amounts owed.

9. Chargebacks

A chargeback occurs when a customer disputes a payment with their bank or payment provider. Creators acknowledge that chargebacks may reduce creator earnings, that CourseSpark may recover chargeback-related amounts, and that additional documentation may be requested. Creators agree to cooperate with reasonable payment dispute investigations.

10. Taxes and Reporting

Creators are responsible for all taxes related to their earnings. Creators may be required to provide tax information depending on location, payment processor requirements, transaction volume, and applicable laws. CourseSpark does not provide tax advice.

11. Promotional Discounts

CourseSpark may offer promotional opportunities. Creators may participate in platform-wide discounts, featured promotions, marketing campaigns, and limited-time offers. Creators will be informed of any applicable revenue adjustments before participation.

12. Affiliate Commissions

If CourseSpark offers affiliate programs, affiliate commissions may be deducted from applicable transactions before creator earnings are calculated.

13. Account Suspension and Withheld Payments

CourseSpark may temporarily restrict payouts if an account is under investigation for fraud, policy violations, copyright complaints, unauthorized activity, and abuse of the Platform. CourseSpark will release legitimate funds when the issue has been resolved, subject to applicable law.

14. Creator Responsibility

Creators are responsible for maintaining accurate sales information, keeping payout details current, reviewing earnings reports, understanding applicable fees, and managing their own business expenses and taxes.

15. No Guaranteed Income

CourseSpark does not guarantee that creators will earn a specific amount of revenue. Creator earnings depend on factors including course quality, marketing, pricing, audience size, student demand, and market conditions.

16. Changes to This Policy

CourseSpark may update this policy as business operations, payment providers, or legal requirements change. Material changes will be communicated where required.

17. Acceptance

By publishing or selling courses through CourseSpark, creators acknowledge that they understand how revenue is calculated, how fees are applied, how payouts are processed, and their responsibilities as independent sellers.

3. Independent Business Status

Creators acknowledge that they operate independently from CourseSpark, they are not employees of CourseSpark, they are responsible for their own income reporting, and they are responsible for maintaining appropriate business records. Nothing in CourseSpark's platform relationship creates a partnership, employment relationship, or agency relationship.

4. Tax Information Collection

CourseSpark may request tax-related information when required by law or when necessary to comply with financial regulations. This may include legal name, business name, tax identification number, tax classification, address information, and tax certification forms. Creators agree to provide accurate and complete information when requested.

5. U.S. Tax Reporting

Depending on the payment structure, transaction volume, payment processor requirements, and applicable laws, certain tax reporting obligations may be handled by CourseSpark, a third-party payment processor, a payout provider, or the creator. Creators acknowledge that payment processors may collect tax information and issue required tax documents where applicable.

6. International Creators

Creators located outside the United States may be required to provide additional documentation, including applicable tax forms. International creators are responsible for understanding their own country's tax requirements. CourseSpark does not guarantee any specific tax treatment for international creators.

7. Sales Tax and Digital Products

Creators are responsible for understanding whether their courses, digital products, or services create sales tax, VAT, GST, or similar obligations. Tax laws vary by location and may change over time. Creators should consult a qualified tax professional regarding their obligations.

8. CourseSpark Platform Fees

CourseSpark's platform fees are revenue earned by CourseSpark for providing marketplace services. CourseSpark is responsible for reporting its own business revenue according to applicable laws.

9. Tax Documentation

Creators agree to maintain appropriate records related to sales, expenses, revenue, refunds, business activity, and tax filings. CourseSpark may provide transaction history or payment records through the platform where available.

Information provided by CourseSpark regarding taxes, payments, or financial matters is for general informational purposes only. CourseSpark does not act as a tax advisor, an accountant, a financial advisor, or a legal representative. Users should seek professional advice regarding their individual circumstances.

If a creator fails to provide required information, CourseSpark may restrict payouts, suspend marketplace access, limit account functionality, and terminate the account where necessary.
