Marketplace Terms of Service

Welcome to CourseSpark. These Terms of Service ("Terms") govern your access to and use of the CourseSpark website, mobile applications, software, and related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. About CourseSpark
CourseSpark is an online marketplace that enables independent creators to create, market, and sell educational content directly to students.
CourseSpark provides the technology platform only. Unless explicitly stated otherwise, CourseSpark is not the seller, instructor, employer, or owner of creator content.
2. Eligibility
To use CourseSpark you must:
- Be at least 13 years old (or the minimum age required by your jurisdiction).
- If under 18, have permission from a parent or legal guardian.
- Have the legal ability to enter into binding agreements.
- Provide accurate registration information.
3. Accounts
You agree to:
- Keep your password secure.
- Maintain accurate account information.
- Notify CourseSpark immediately of unauthorized account use.
- Accept responsibility for all activity conducted through your account.
You may not share, sell, or transfer your account without written permission.
4. Purchases
When purchasing a course, you receive a limited, personal, non-transferable license to access that course through CourseSpark.
Purchasing a course does not transfer ownership of the course or any intellectual property. Unless otherwise stated, courses are for personal educational use only, and you may not redistribute, resell, copy, record, or publicly display course content.
5. Payments
Payments are processed through third-party payment providers. By making a purchase you authorize the applicable payment processor to charge your selected payment method. CourseSpark is not responsible for payment failures caused by banks, payment processors, or card issuers.
6. Refunds
Refunds are governed by the CourseSpark Refund Policy. CourseSpark reserves the right to deny refund requests that violate the policy or involve abuse of the refund system.
7. Creator Content
Creators are solely responsible for the courses they publish. CourseSpark does not guarantee accuracy, completeness, professional qualifications, business results, financial outcomes, or certification validity.
Educational content should not be considered legal, financial, medical, accounting, investment, or tax advice unless explicitly provided by a qualified professional.
8. User Conduct
Users agree not to:
- Break any laws.
- Upload malicious software.
- Attempt unauthorized access.
- Interfere with platform operations.
- Harass or threaten other users.
- Upload infringing content.
- Circumvent payment systems.
- Share purchased courses without authorization.
- Use bots to scrape or copy platform content.
9. Intellectual Property
All CourseSpark branding, logos, software, website design, trademarks, and platform features remain the property of CourseSpark. Creators retain ownership of their own educational content. Students receive only a limited license to access purchased courses.
10. Copyright Policy
CourseSpark respects intellectual property rights. Copyright owners may submit notices requesting removal of infringing content. Repeat copyright infringers may have their accounts permanently terminated.
11. User-Generated Content
Users may submit reviews, comments, discussions, community posts, and profile information. You grant CourseSpark a non-exclusive license to display and distribute such content as necessary to operate the Platform.
12. Platform Availability
CourseSpark strives for reliable service but does not guarantee uninterrupted availability. Maintenance, updates, outages, security events, or third-party failures may temporarily affect access.
13. Termination
CourseSpark may suspend or terminate accounts that violate these Terms, engage in fraud, abuse other users, attempt to exploit platform vulnerabilities, infringe intellectual property rights, or engage in illegal conduct. Users may stop using CourseSpark at any time.
14. Disclaimer
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, CourseSpark disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
15. Limitation of Liability
To the maximum extent permitted by law, CourseSpark shall not be liable for lost profits, lost business opportunities, lost data, indirect damages, consequential damages, special damages, or punitive damages.
CourseSpark's total liability shall not exceed the total platform fees received from the transaction giving rise to the claim or, if no transaction occurred, $100 USD, whichever is greater.
16. Indemnification
You agree to defend, indemnify, and hold harmless CourseSpark, its owners, employees, affiliates, contractors, and partners from any claims, damages, liabilities, losses, costs, or expenses arising from your use of the Platform, your violation of these Terms, your violation of another person's rights, or your content or conduct.
17. Electronic Communications
By creating an account, you consent to receive electronic communications related to your account, purchases, platform updates, security notices, and legal documents.
18. Changes to the Terms
CourseSpark may revise these Terms periodically. Updated Terms become effective upon posting unless otherwise required by law. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
19. Governing Law
These Terms shall be governed by the laws of the state in which CourseSpark is organized, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located within that jurisdiction unless applicable law requires otherwise.
20. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
21. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, Creator Agreement, Creator Terms & Conditions, DMCA Policy, and any additional policies incorporated by reference, constitute the entire agreement between you and CourseSpark regarding use of the Platform.
